Terms of Business

Terms of Business: version 2.0 (07/08/08)

 

1. General

1a) The ToB applicable

# The version of the Terms of Business - see above - applicable is the one current at the time of contractual agreement.

1b) Variation of Rights

# I reserve the right to vary the ToB applicable in your favour at my discretion. Any such variation does not set a precedent in our arrangements, current or future, and   does not affect any of my other rights not included in such a variation.

# Your statutory rights under United Kingdom and European Union laws are preserved under all contractual arrangements.

 

2. Value Added Tax (VAT)

# My VAT registration number is: GB 734 6515 30.

# All services and products I provide, other than scholastic tuition, are subject to United Kingdom VAT at the standard rate except where otherwise specified.

# All receipts and invoices issued by me show my VAT number and the rate of VAT applied. (VAT-registered organisations and persons in the United Kingdom and the European Union should be able to reclaim VAT applied on my invoices and receipts.)

 

3. Workshop Programmes hosted by myself.

3a) Payments via PayPal

# Your payment will be credited immediately and Receipt/Invoice, Joining Instructions, Map/Directions and any advance reading materials will be mailed 1st class within 2-3 days and you should receive the package within 5 working days. If you are an overseas customer, please allow at least 14 days to receive this package. Please contact me if you do not receive your package within the indicated time period.

3b) Reservations & Payments via cheque or international money order - individuals, UK & overseas organisations
# Should you choose to reserve a place/places and send payment (cheque or international money order) by mail, I will advise by phone or e-mail within 24 hours if your reservation requirements can be met. If they can, you should send payment immediately. I will confirm receipt by phone or e-mail. Your
Receipt/Invoice, Joining Instructions, Map/Directions and any advance reading materials will be mailed 1st class within 2-3 days and you should receive the package within 5 working days. Please allow at least 14 days if you are an overseas customer.

# Reservations will only be confirmed when payment has cleared my bank. (Until then they are only tentative.) Please ensure you allow sufficient time for this if you choose to pay this way.

# Cheques and international money orders should be in £ sterling and must be contain full payment. Please make payment to ‘Keith E Rice’.

3c) Reservations & Payments via cheque, BACS or PayPal - credit for UK organisations
# UK organisations with a satisfactory credit rating may request to be invoiced when making a reservation. I will advise by phone or e-mail within 24 hours if your reservation requirements can be met. If they can, I will issue an
Invoice to accompany Joining Instructions, Map/Directions and any advance reading materials. These will be mailed 1st class within 2-3 days and you should receive the package within 5 working days. Terms of payment: 30 days from date of invoice. Cheques should be made payable to ‘Keith E Rice’. If you would prefer to pay by BACS or PayPal, please get in touch via the Contact page to discuss this.

# Please note I reserve the right to charge for late payment - see 8 below.

3d) Discounts

# I frequently apply discounts for multi-place bookings - eg: for all places from the 4th one on. Please check the specific details of the course you are interested in before booking or reserving.

3e) Cancellations & Refunds
# If, for any reason, I am unable to run a programme, all payments taken will be refunded in full.

# If you, as a participant, withdraw from a programme within a week of its start date, your payment will be non-refundable. If you withdraw within a fortnight but more than a week from the start date, a quarter of your payment will be refunded. If you withdraw from a programme 2-3 weeks from its start date, a half of your payment will be refunded. If you withdraw 3-4 weeks from the start date, three-quarters of your payment will be refunded. If you withdraw from the programme no less than 4 weeks from the start date, your payment will be refunded in full. (I may vary these conditions to the withdrawing participant's benefit, depending on the circumstances of the withdrawal. See 1b above)

 

4. Workshop Programmes & Other Events led by myself but hosted by 3rd Parties

# Your contractual arrangement is with the 3rd Party.

# You are invited to discuss any matter to do with delivery of my content with me.

# All financial and logistical queries should be directed to the hosting 3rd Party.

 

5. Organisation Consultancy

5a) Programme of Work

# The Programme of Work will be as agreed between you/the authorised representative of your organisation and I and documented as a de facto contract. Any extensions or supplementation of the programme will be as agreed between us and documented in at least e-mail format.

5b) Payment

# Unless agreed otherwise between us, I will invoice you for work carried out in a month at the end of that month. Terms of payment: 30 days from date of invoice. Cheques should be made payable to ‘Keith E Rice’. If you would prefer to pay by BACS or PayPal, please get in touch via the Contact page to discuss this.

# Please note I reserve the right to charge for late payment - see 8 below.

 

6. Therapy & Counselling/Tuition for Individuals

6a) Programme of Work

# The Programme of Work will be as agreed between you and I and documented as a de facto contract in at least e-mail format. Any extensions or supplementation of the programme will be as agreed between us and documented in at least e-mail format.

6b) Therapy Considerations

# The first 30 minutes (approx) of the first consultation are considered diagnostic and are not chargeable. Into the second half-hour of the first consultation, I will endeavour to present my diagnostic and my recommendations. If you, the client, wish to proceed on that basis, we will agree the Programme of Work.

# It is critical that you, the client, are open and honest with me about any psychological/psychiatric diagnosis, current or historical, and any psychoactive medication prescribed with respect to that diagnosis, current or historical.

# While disclosure of deepest feelings can be stressing and distressing, failure to disclose key facts - eg: previous Depression, relationship problems, dysfunctional upbringing, etc - can work against successful therapy. It is the responsibility of you, the client, to disclose all relevant information.

# Where a multi-session programme is agreed, I may assign tasks in between sessions. You, the client, must use your best endeavours to complete the task(s) - or, at least, disclose why you were unable to carry it/them out.

# Whilst I have an enviable track record of success, Psychotherapy is an inexact science and results cannot be guaranteed. If I feel that my approach is not working for you, I will recommend you seek help elsewhere and will endeavour to help you find that assistance (within reason). You may, any time, terminate the arrangement, subject to your account being up to date.

6c) Tuition Considerations

# The contract is between myself and the person paying on behalf of the tutee. As this is usually a parent, I prefer the contracting parent to be involved in drawing up the Programme of Work and playing at least a consultative role in any amendments to the programme.

# You, the tutee, should attend sessions promptly and equipped to learn (pen, writing pad, text book, etc).

# Most tuition programmes will involve assignments in between at least some of the sessions. You, the tutee, must endeavour to complete all assignments in the agreed timeframe.

# Progress reports (how ever brief) and any concerns will be provided to the contracting parent as appropriate. Where the tutee is paying themselves, discussion on progress and concerns will take place as an adjunct to the tuition session.

# If I feel that either my style does not suit the tutee or the tutee is not making progress, at my discretion, after consultation with the contracting person (parent or tutee), I will recommend you seek tuition elsewhere and will endeavour to help you find that tuition (within reason). You may, any time, terminate the arrangement, subject to your account being up to date.

6d) Travel to Your Premises

# I vastly prefer to conduct therapy & counselling and tuition from my own home - for access to my resources. However, if necessary, I will travel to your premises if in the immediate Harrogate/Knaresborough area. To cover my time and costs, I charge a fee of £11.49 (£10+VAT@14.89%).

# If you wish me to come to your premises beyond the immediate Harrogate/Knaresborough area, then please get in touch via the Contact page to discuss this.

6e) Payment & Missed Sessions

# All charges to do with therapy & counselling are subject to VAT. Charges for the delivery of tuition are not subject to VAT. Any products or other services related to the delivery of tuition are subject to VAT.

# Payment will be required at the end of each session - either as cash or a cheque - unless explicitly agreed in advance with myself and documented in at least e-mail format. Cheques should be made payable to ‘Keith E Rice’.

# Should you need to cancel or reschedule a session, failure to inform me at least 24 hours in advance will render you liable to a cancellation fee of £11.75 (£10+VAT@17.5%). Subject to your mitigating circumstances, I reserve the right to waive the cancellation fee at my discretion and without prejudice to my rights.

# Should you terminate a programme owing monies, you will be invoiced for the outstanding amount, with 10 days from date of invoice to pay.

# Please note I reserve the right to charge for late payment - see 8 below.

 

7. PDF Downloads from www.integratedsociopsychology.net

7a) Payments via PayPal

# Your payment will be credited immediately and normally you will be e-mailed a receipt and password within a maximum of 12 hours.

# The download password will be valid to the end of the last day of the following month (UK GMT). After that you will need to apply to me for a new password which will be provided for a token charge of £1.

7b) Payments via cheque or international money order

Payments should be made payable to ‘Keith E Rice’. Please allow sufficient time for your payment to clear my bank account. If you provide an e-mail address, I will e-mail you a Receipted Invoice and password within 7 days of receipt of your payment. If you prefer to receive these by mail, they will be mailed 1st class within 10 days of receiving your payment. Please allow at least 20 days if you are an overseas customer.

7c) Rights & Restrictions

# Downloaded PDFs are for the non-commercial and private use of the purchaser. (That private use can be considered to include sharing with close family and friends.)

# Downloaded PDFs must not be distributed electronically - except with my documented permission in at least e-mail format.

# Where downloaded PDFs are security set to be non-printing, their code must not be tampered with.

# Where downloaded PDFs are print-enabled, the purchaser may print one copy for non-commercial and private use. (That private use can be considered to include sharing with close family and friends.)

# Any violation of 7c will be considered breach of copyright and liable to legal action.

 

8. Late Payments

# I reserve the right to charge interest on late payments in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 as amended and supplemented by the Late Payment of Commercial Debts Regulations 2002.

# As allowed by legislation, interest will be charged at the Bank of England reference rate plus 8%.

# Any concession on my part with regard to not charging interest on overdue accounts is without prejudice and does not set a precedent for any other dealings, current or future.

 

9. My Obligations to You

# To carry out the work to the best of my professional abilities and in your interests.

# To keep you fully advised of progress and make you aware at the earliest opportunity of any obstacles to achieving our agreed objectives.

# All information supplied to be, to the best of my knowledge, current and accurate.

 

10. Dissatisfactions & Disputes

# In the event of any unhappiness with my work or products supplied by me, please do approach me to discuss the matter.

# In the unlikely event that we are unable to resolve a dispute between us, the consumer laws and other relevant legislation of England and the judgements of the English courts shall apply in the first instance.

# In the event that you believe I have behaved unethically and/or unprofessionally, you may have additional means of redress through the following professional bodies whose codes of conduct I am committed to complying with...

 

11. Testimonials & Case Studies

# My work is highly successful and many of my clients/customers are only too happy to provide me with testimonials and/or case studies. I may ask you, as a client/customer, to agree to such. You have no obligation to say ‘Yes’ and any refusal will have no detrimental effect on our relations.

# If you agree to a testimonial and/or case study, you will have the final say on what does/doesn’t appear.

# For therapy & counselling clients who agree to a testimonial or case study, I usually suggest using false names and altering some of the peripheral facts to maintain anonymity.
